These Terms & Conditions ("Terms") govern your enrollment in and participation in the Pathway to Purpose program (the "Program"), offered by the Center for Transformational Coaching, a program of Imaginal Light Inc. ("CTC," "we," "us," or "our"). By submitting a registration form, paying a deposit, or participating in the Program, you ("Participant," "you," or "your") agree to these Terms.

1. Eligibility

The Program is offered exclusively to graduates of CTC's Deep Coaching Intensive (DCI). By enrolling, you confirm that you have completed (or are in the process of completing) the DCI. CTC may verify eligibility and may decline or withdraw an enrollment that does not meet this requirement, with a refund of any amounts paid.

2. The Program

Pathway to Purpose is a 16-week group business-coaching program designed to support DCI graduates in building a coaching practice. Enrollment includes:

• A six-part curriculum covering the range of practice-building;
• Twelve (12) live, two-hour group calls led by Jonathan Hermida across the 16 weeks;
• Weekly action challenges;
• Peer coaching within your pod; and
• Access to the associated community/support space.

The Program is delivered online. Session dates and times are provided in advance. The Program is educational and developmental in nature.

3. Pods & Minimum Enrollment

The Program is delivered in "pods" of five (5) to ten (10) participants.

• A pod requires a minimum of five (5) confirmed participants to run.
• If a pod does not reach five (5) participants by its scheduled start date, CTC may postpone or cancel that pod. In that case, you will be offered a place in the next forming pod or a full refund of amounts paid.
• CTC assigns participants to pods and may adjust pod composition, schedule, or start date as reasonably necessary.

4. Tuition & Pod Pricing

Because the Program is delivered in shared pods, tuition depends on the final size of your pod. Tuition begins at US$2,699 per participant (based on the five-participant minimum needed to run), and is reduced by US$220 per participant for everyone for each additional participant who joins — reaching as low as US$1,600 per participant in a full pod of ten:

Your final per-participant tuition is confirmed once your pod closes and its size is set. All fees are stated and payable in US dollars.

5. Deposit

To reserve a place, you must pay a deposit of US$350, which is applied toward your tuition.

• Your deposit is fully refundable until your pod reaches the minimum of five (5) participants and is confirmed to run.
• Once your pod is confirmed to run, your place is committed and the deposit becomes non-refundable, except as required by law.
• If your pod does not reach the minimum of five (5) participants, it will not run, and you will receive a full refund of your deposit (or you may choose to join the next forming pod).

6. Payment

After your place is confirmed, the remaining balance is due according to the option you select at checkout:

• Pay in full: balance due at least 3 weeks ahead of the start of the cohort.
• Payment plan: interest-free installments over 3–6 months, per the schedule provided at checkout.

You authorize CTC and its payment processor to charge the payment method on file according to your selected plan. If a payment fails, CTC may pause your access and retry the charge; persistent non-payment may result in removal from the Program without refund of amounts already paid, and you remain responsible for the outstanding balance.

7. Sponsorship

A group of participants may elect to sponsor another eligible coach by covering the pod tuition among themselves, allowing the sponsored participant to join at no cost — subject to the pod's eight-participant maximum and CTC's approval. Contact us to arrange a sponsorship.

8. Refunds & Withdrawal

• Deposit refunds are governed by Section 5.
• Because of the group/pod nature of the Program and the capacity reserved for you, tuition is non-refundable once the Program begins, except as CTC may agree in writing or as required by law.
• If you withdraw after the Program begins, you remain responsible for the full tuition, including any remaining installments.

9. Attendance & Recordings

Live calls take place at scheduled times. Sessions may be recorded and shared with pod participants for their personal use. Attending sessions and completing the weekly actions is your responsibility. Where recordings are available, they may be provided for missed sessions; however, no refunds or credits are given for missed sessions.

10. Changes by CTC

CTC may modify the schedule, curriculum, delivery platform, or facilitator, and may reschedule or substitute individual sessions, as reasonably necessary, while preserving the overall value of the Program.

11. Participant Conduct

You agree to engage respectfully and constructively with facilitators and fellow pod members. CTC may remove any participant whose conduct is disruptive, harmful, or in breach of these Terms. Removal for cause does not entitle the participant to a refund.

12. Confidentiality

The Program involves personal sharing and peer coaching. You agree to keep confidential the personal information and disclosures shared by other participants, and not to record, reproduce, or distribute sessions or others' contributions without consent. CTC handles your personal information in accordance with its Privacy Policy.

13. Intellectual Property

All Program materials — including the curriculum, recordings, documents, frameworks, and the Deep Coaching methodology — are the property of CTC / Imaginal Light Inc. and are provided for your personal, non-commercial use only. You may not copy, distribute, resell, publish, or teach these materials without CTC's prior written permission.

14. Nature of the Program; No Guarantees

The Program is educational and coaching-based. It is not therapy, counseling, or professional legal, financial, tax, or medical advice.

Coaching outcomes depend on many factors, including your own effort, circumstances, and choices. CTC makes no guarantee that you will obtain clients, generate any particular income, or achieve any specific result. Any examples, case studies, or testimonials are illustrative and are not promises of your results.

15. Assumption of Responsibility

You are solely responsible for your own decisions and actions taken during and after the Program, including how you build, price, market, and operate your coaching practice and business.

16. Limitation of Liability

To the maximum extent permitted by law, CTC, Imaginal Light Inc., and their officers, facilitators, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of the Program. In all cases, our total aggregate liability shall not exceed the amount you actually paid for the Program.

17. Indemnification

You agree to indemnify and hold harmless CTC and Imaginal Light Inc. from any claims, damages, or expenses arising out of your breach of these Terms or your use of the Program materials.

18. Force Majeure

CTC is not liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to acts of God, illness, technology or platform failures, or governmental actions.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of B.C, Canada without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in British Columbia, Canada. 

20. Privacy

Your personal information is collected and used in accordance with CTC's Privacy Policy.

21. Changes to These Terms

CTC may update these Terms from time to time. The version in effect at the time of your enrollment applies to that enrollment.

22. Entire Agreement & Severability

These Terms constitute the entire agreement between you and CTC regarding the Program and supersede any prior understandings. If any provision is found unenforceable, the remaining provisions remain in full effect.
